This Terms of Service governs all visits, contact form submissions, sample inquiries and bulk order cooperation with COSMO women’s footwear wholesale website. By filling out our contact form, sending us messages or requesting quotations, you fully agree to all terms below.

1. Business Eligibility
1.Our website is a B2B wholesale platform only for footwear distributors, boutique sellers, brand merchants and importers. We do not accept individual retail end consumers.
2. When you submit the contact form, you promise all information (name, email, inquiry content) you provide is true and valid. We reserve the right to ignore fake price-fishing messages and false inquiries.
3. You shall not submit spam, irrelevant advertising or infringing content through the contact message box.

2. Sample Bulk Order Rules
1.All women’s shoe styles (loafers, mules, Mary Janes, boots, sandals) support sample requests via contact form. Sample fees and shipping cost shall be covered by buyers.
2.Sample charge will be deducted from your first formal bulk order when the order quantity meets our refund standard.
3.OEM ODM custom service is available, including private logo, material color adjustment. Extra revision fees will be confirmed to you via email reply.
4.All quotations are EXW Factory / FOB Guangzhou price, excluding sea freight, air freight, destination import tax and customs clearance fees.
5.Minor leather color difference and tiny size tolerance within industrial standard are not recognized as quality defects.

3. Payment After-Sales Policy
1.Accepted payment methods: T/T Wire Transfer, Western Union, Alibaba Trade Assurance.
2.Custom orders require 30% deposit after proforma invoice confirmation; full balance must be paid before shipment. Stock orders need full prepayment.
3.Refund replacement only applies to mass production quality defects (glue cracking, broken soles, large scale size deviation) with photo/video proof.
4.We do not accept returns for buyer’s wrong style/color selection or customized exclusive OEM goods.

4. Intellectual Property
1.All shoe designs, product photos and catalogs on this site belong exclusively to our company. Unauthorized copying, screenshot and commercial reprinting are forbidden.
2.If you provide custom logos patterns for OEM orders, you take full responsibility for any third-party copyright disputes arising from your design.
3.All exclusive custom designs from our cooperative clients will be kept strictly confidential.

5. Shipment Risk Transfer
1.We can cooperate with your designated freight forwarder or arrange shipping service for you.
2.Once goods leave our factory and hand over to the carrier, all risks of loss, damage and customs detention transfer to the buyer.
3.You are responsible for complying with your local import standards (EU REACH, California Prop 65, etc.) and all import duties.

6. Force Majeure Disclaimer
We are not liable for delivery delays caused by raw material price fluctuation, port congestion, natural disasters, epidemic control and policy adjustments.

7. Dispute Revision
1.This agreement is governed by the laws of People’s Republic of China. Disputes shall be settled via negotiation first; if failed, submit to local court in Guangzhou where our factory locates.
2.We may update these terms at any time, the latest version will be posted on website footer. Continuous use of our contact form equals acceptance of updated rules.
